Üçüncü kişi yararına sözleşme, Türk Borçlar Kanunu'nun 129. maddesinde düzenlenen genel bir kavramdır. Sözleşme tarafları bu sözleşme ile bir üçüncü kişiyi yararlandırmayı amaçlar. Üçüncü kişi yararına sözleşmenin temel ortaya çıkış biçimleri olan eksik üçüncü kişi yararına sözleşme ve tam üçüncü kişi yararına sözleşmenin varlığı, sözleşme tarafı olmayan üçüncü kişiye bir alacak hakkı sağlanıp sağlanmadığına göre tespit edilir. Kanun koyucu üçüncü kişi yararına sözleşmeyi genel bir kavram olarak dar bir hüküm ile düzenlemiştir. Bu nedenle hüküm uygulamada ortaya çıkan pek çok hukukî soruna çözüm sunamamaktadır. Bu çalışma, genel nitelikli hükümlerin, özel sözleşme türlerine ait hükümlerin ve diğer üçlü ilişkilere ait hükümlerin kıyasen; yabancı hukuk düzenlerinde getirilmiş çözümlerin ise yorum yoluyla uygulanması ile bu hukukî sorunlara çözüm bulmayı amaçlamaktadır. Bu çalışmanın birinci bölümünde genel olarak üçüncü kişi yararına sözleşme kavramı, kanuni düzenleme ve üçüncü kişi yararına sözleşmenin diğer üç köşeli ilişkilerden farkı incelenecektir. İkinci bölümde, üçüncü kişi yararına sözleşmenin özellik arz eden türü olan tam üçüncü kişi yararına sözleşmenin kuruluşu ve tarafların nitelikleri ele alınacaktır. Üçüncü kişinin hak kazanımı ve bunun sonuçları bu bölümde incelenecektir. Üçüncü bölümde sözleşme katılanları arasındaki ilişkiler ve üçüncü kişiye ifa ele alınacaktır. Dördüncü bölümde ise tam üçüncü kişi yararına sözleşmede borca aykırılık ve iade taleplerine yer verilecektir. |

Contract for the benefit of a third party, which is regulated by article 129 of the Turkish Code of Obligations, is legally a general term. Parties to the contract aim to benefit a third party by this contract. The basic classification of the contracts for the benefit of third parties, namely the fictitious contract for the benefit of a third party and the genuine contract for the benefit of a third party, is made depending upon whether the third party is entitled to a real claim from the contract. Lawmaker regulated the contract for the benefit of a third party as a general legal concept with a short-cut provision. Thus, this provision cannot offer solutions to many legal controversies in legal practise. This study aims to offer solutions for such controversies with the application of general provisions, special provisions of specific contracts and provisions of other triangular legal relationships in an analogous way; and with the help of the interpretation of solutions followed in foreign laws. In the first chapter of this dissertation, concept of the contract for the benefit of a third party, its legal regulation and variation from the other triangular legal relations will be examined. In the second chapter, establishment of the genuine contract for the benefit of a third party, which is the featured type of this contract, and the qualifications of the parties will be analysed. Entitlement of the third party will be examined in this chapter. Third chapter will analyse the legal relations among the parties and performance to the third party. Fourth chapter will examine the breach of the contract for the benefit of a third party and restitution claim. |
